1. Agreement to Terms
By using our Service, you agree to be bound by these Terms. If you don't agree to be bound by these Terms, do not use the Service.
2. Service Description
Payquill provides a platform for creating, managing, and sending professional invoices, including features for digital signatures and cloud synchronization.
- Eligibility: You must be at least 18 years old and capable of forming a binding contract to use the Service.
- Registration: Certain features require you to create an account. You must provide accurate information and keep your credentials secure.
- Local vs Cloud: You acknowledge that guest users store data locally. We are not responsible for any data loss occurring from cleared browser caches or device changes for guest accounts.
3. Fees and Payment
Payquill offers both free and paid features. By subscribing to a premium plan, you agree to pay all fees associated with that plan. All fees are non-refundable except as required by law.
4. Your Content and Data
You retain all rights to any data or content you upload to the Service. However, by using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, and process your content solely to provide and improve the Service.
5. Prohibited Conduct
You agree not to:
- Use the Service for any illegal or unauthorized purpose.
- Attempt to gain unauthorized access to our systems or other users' accounts.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service to generate or send fraudulent invoices or spam.
6. Digital Signatures
Payquill provides digital signature capabilities. While we strive to provide secure and verifiable records:
- We do not guarantee that digital signatures provided via the Service will be legally binding in all jurisdictions.
- You are solely responsible for determining the legal requirements for signatures in your specific use case and jurisdiction.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYQUILL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
8. Indemnification
You agree to indemnify and hold Payquill harmless from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
10. Termination
We may terminate or suspend your access to the Service at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
