By accessing or using Payquill ("the Service"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.

2. Description of Service

Payquill is an invoicing platform that provides tools to generate, customize, manage, and digitally sign invoices. We offer two primary modes of operation:

• Local-Only (Free): A fully functional, browser-based experience where data is stored locally via IndexedDB. We do not guarantee data persistence if you clear your browser cache or change devices.
• Cloud Sync (Premium): A paid subscription that securely syncs your data to our servers, enabling cross-device access and persistent storage.

3. User Responsibilities

You are solely responsible for:

• The accuracy, legality, and appropriateness of the data you enter into your invoices.
• Maintaining the confidentiality of your account credentials (if using Cloud Sync).
• Ensuring your use of the Service complies with applicable local, state, and federal tax laws and regulations.

4. Digital Signatures

Payquill provides a digital signature feature that embeds an image and logs an audit trail (including email verification, IP address, and timestamp). While this provides a record of intent to sign:

• Payquill does not guarantee the legal enforceability or validity of these signatures in your specific jurisdiction.
• You should consult with legal counsel to determine if this digital signature meets your local requirements for legally binding contracts.

5. Limitation of Liability

To the maximum extent permitted by law, Payquill and its creators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your access to or use of or inability to access or use the Service.
• Any conduct or content of any third party on the Service.
• Any data loss due to local browser storage clearing (for Local-Only users).

6. Termination

We reserve the right to suspend or terminate your access to the Cloud Sync service at any time, with or without cause or notice, if you violate these Terms or for any other reason.

7. Changes to Terms

We may modify these Terms at any time. We will notify users of significant changes by updating the date at the top of this page and, for registered users, sending an email notification.
